Stichting en Bestuurder betalen

Hello everyone, dag iederen,

 

I feel sorry, writing in English, but this is much easier. All replies [graag] "in het Nederlands", this is no problem But writing me in Dutch is just not precise enough... and I read different opinions about that topic in this forum, so I want to be pretty clear:

 

Too keep a long story short, I opened up a stichting with three more people, four years ago. We are four people in the bestuur and I inherit the position as voorzitter, secretaris and penningmaster. [i know, This is already weird, but circumstances just made it that way. This is something we have to change first, this is not that serious.] Up to now, the stichting had very little "omzet", we are doing art expositons, print some artworks, sell them in shops. All on a small scale, all even put with 6% BTW on it. As I said, we are not dealing with any big amounts and never made any "winst".

 

Since more than one year I am working in my spare time on an art project, involving different fonds. I spent around 90 full working days on developing a project all alone, no one of the bestuur wa supporting this project. If this project is happening now, I would like to get paid for it, assuming 20% of the total project costs, which is a usual percentage for the work I am doing. I do not see any problem justifying my payment in relation to the time I worked, but:

 

Is there absolutely no chance to send an invoice from my Eenmanszaak to the stichting, getting paid for all the work I did?

 

If you need more information, please let me know. Any help appreciated, graag ook in het Nederlands, maakt niet uit.

This is not the point, Sir. It is not about stroking anyone. The inherit of all positions has to be changed, clear enough. But the question stays still the same: no chance to get paid?

Please go and see a civil law notary. In order to make a proper judgement we need to see the (memorandum and) articles of association (statuten).

De stichting is een bijzondere rechtspersoon. Stichtingen kennen een uitkeringsverbod aan oprichters en bestuurders. Dat wil niet zeggen dat bestuurders geen salaris kunnen krijgen. De bestuurders kunnen een salaris genieten wat 'gebruikelijk' is voor hun functie. Een vaag begrip.

 

In dit geval wil gebeleg een nota van zijn eenmanszaak naar de stichting sturen voor gedane werkzaamheden. Dit hoeft niet perse een probleem te zijn. Een en ander zal afhangen van de statutaire bepalingen omtrent vertegenwoordiging, tegenstrijdig belang, doelstelling, etc.

Wat verwacht je nou? Sympathie? Medelijden? Begrip? Ik sta perplex.

Gebeleq, je kan de stichting uiteraard een nota sturen als deze wat gaat doen met jouw project. Zoals Johan al aangeeft, moet e.e.a. passen binnen de doelomschrijving van de stichting e.d. en moet de beloning zakelijk zijn. Maar de meerderheid van het bestuur/het voltallige bestuur? moet het er wel eerst over eens zijn dat de stichting geld steekt in jouw project. Is dat niet het geval, (if nobody but you cares for the project), dan houdt het mijns inziens op.
