NL inkomstenbelasting voor Amerikaanse LLC?

Ik wil een LLC beginnen in de VS en ik heb daarover al contact gehad met een CPA en business lawyer.

Het is mij echter onduidelijk hoe de bruto winst van de Amerikaanse LLC in NL belast gaat worden. Ik heb hierover al contact gezocht met meerdere fiscalisten in NL die allen een uurtarief hanteren van 175 tot 300 euro ex. BTW. Aangezien de prijs voor professioneel advies behoorlijk hoog kan uitvallen wil ik mij eerst een beetje inlezen en ervaringen horen van anderen met een LLC in Amerika.

 

Een LLC kan kiezen uit meerdere tax-entities, waaronder disregarded (pass-through) entity of corporation.

Mijn vraag is, hoe worden deze entities belast in Nederland?

Word de disregarded entity gezien als eenmanszaak en dien ik mijn volledige Amerikaanse boekhouding ter beschikking te stellen aan de Nederlandse belastingdienst?

En hoe zit dat bij uitkering van dividend van een corporation? Een LLC met corporate status is een eigen tax entity, dus valt uitgekeerde dividend dan onder persoonlijke inkomstenbelasting?

 

Wie o wie beschikt hier over zijn eigen LLC en kan mij hier meer over vertellen? Liefst via PM.

Wat is jouw definitie van "feitelijk bestuur"?

De vestiging / het kantoor (in het beginsel zonder personeel) is in de VS. De werkzaamheden verricht ik vanuit Nederland (of elders), ik heb geen direct contact met klanten en een fysiek kantoor of vestigingsadres in Nederland ontbreekt.

 

Ben je zelf eigenaar van een LLC in de VS?

Ok, dus uit je bericht kan ik opmaken dat de belastingdienst geen rekening houd met de tax identity van de LLC?

 

Ik ben maar een leek op dit gebied dus zeg het maar als ik het fout heb.

Met een corporate tax status beschikt de LLC over haar eigen tax-entity. De winst uit de LLC word dan in de VS op federal, state en local niveau belast met corporate tax. In mijn geval is dat ~ 34%.

Uitkering in de vorm van dividend.

 

Met een disregarded status word de winst in NL belast -> als BV?

 

Als de LLC met corporate status nogmaals als BV word belast in NL dan houd ik vrijwel niets over. Tenzij er afspraken zijn gemaakt tussen beide landen?

Ok, dus fiscaal haalt het niets uit en het kan zelfs nadelig uitvallen. Gelukkig is dat maar max. voor een jaar.

 

Het bedrijf heeft voornamelijk internationale relaties en de producten zijn allen "made in the usa".

Tevens ben ik van plan om volgend jaar te emigreren en wil ik geen bedrijfsactiviteiten in Nederland meer onderhouden.

Houd er rekening mee dat de kans bestaat dat, afhankelijk van waar je naar toe gaat, de Nederlandse belastingdienst nog wel even met je wil afrekenen.

This is my issue as well: I have a profitable, single owner LLC in the USA, selling US made goods within the USA only.  File my taxes in the USA. Just moved to the NL in 2018 and having no luck in finding someone helping me to file my Dutch taxes.  I got my resident status, BSN number, and health insurance. Never got the M-Formulier from the Belastingsdienst.

 

Should I order it myself, file my US income as 'income' only without giving the source? In addition get the 'Verklaring belastingplicht woonland' filled out and signed by the IRS in the States?  

 

At this point I don't even care if I have to pay more taxes than I should. I'm worried of getting into trouble with the Dutch authorities by doing nothing.

If you have health insurance, you may also be eligible for Zorgtoeslag (health care allowance), depending on your income. You can request it retroactively for 2019 from the date you registered. Also, if you did not receive an M-form, you must request it yourself. However, if you came to the Netherlands in 2019, it is likely that you will receive it between March and May.

What I remember from the M-form is that it can be quite tricky to fill out, because it requires you to provide all income details, also foreign income and also income from when you were not living yet in the Netherlands. However, you don't pay taxes, because there are several time-based or location-based exemptions (but you still need to fill out the full income and then fill out the full exemption somewhere else and pay nothing in taxes).

A "M-form" can be sent electronically now a days (through Digipoort) when you have got the proper software and certificates.

 

So it's a lot easier to do this now than in the past. But you need a lot of inputs in order to get everything in the right place off course.

 

I cannot imagine that a professional, like the "Expat Tax advice service" you are referring to, can't handle this. Seems strange to me.

Hi US Expat,

 

If you have  not found an expat tax consultant with experience of US taxes and LLC's yet,  maybe I can help you.  Because  until 2019 and for several years I had a client with a LLC in the US that only  operated within the US (campground) while the owners -a married couple- lived partly in the US and partly in The Netherlands before they decided to immigrate to The Netherlands, but kept working only in the US. Later and on my advice they emigrated within 10 years to another EU-country to avoid the Dutch capital gain taxes over the later sold LLC-business. Maybe your situation comes close to theirs. Whatsoever, if you came to The Netherlands in 2018 and have been living here since most of the time, it's likely that you must file a M-form over 2018.

My main question here would be:

How do you manage to run a US company (selling US goods in the US) when you live in the NL?

 

The main rule is that the company is seated where te management is seated. That sounds like... in the NL.

 

But I'm sure that "Jantax" will tell you all about it. 

 

If it's actually the case that your company still is seated in the US, then it's a "peace of cake" to file your NL (income) tax returns by the way. The "M" version too.

Ik heb een vergelijkbare vraag.
Ik wil een LLC oprichten ivm een aantal huizen die ik heb in de USA.

Alle huizen, inkomsten en werkzaamheden zullen dan ook in de US plaatsvinden.

Echter ik zelf woon in NL.

Ik neem aan dat de LLC dan alleen in US belasting dient af te dragen ?

Ik hoor het graag als iemand mij kan helpen ?
