So, I'm getting started in Amazon FBA (Fulfilled by Amazon) and I'm struggling to find a good way to start my business smoothly from a legal / financial PoV.
Some pointers:
- I've been an employee until now so I don't have any experience with business registration in NL (No BTW, BV, ZZP, nothing)
- My income tax is already in the highest tax bracket (49.5%)
The options I have until now:
Opening an LLC in 🇺🇸
Opening a BV in 🇳🇱
Start as sole proprietorship in🇳🇱
+ If I move outside of NL, an american company allows me to setup anywhere
+ Own assets protected as the company takes care of liability
+ Own assets protected as the company takes care of liability
+ Flat (corporate) tax fee of 15% for the first €395k of revenue (This, seems? to be the only advantage of a BV?)
+ Simple(r) process in NL than a BV, less expensive
- As I understand it, I will have to pay taxes on income on my personal name in NL, this means that I pay 49,5% of taxes on any FBA income in NL
- Seems to be quite a serious and expensive process including a notary
- I'm liable for everything with my personal assets but could use a liability insurance for it?
? Unclear whether I could use a different tax schema or this would be tax again in my personal income (highest bracket)
So I'm looking forward to setting this up properly, yet not blow up creating a crazy structure that I don't (yet) need. Most important for me
- Is to be within the law and that with whatever I choose I can have an EORI and all stuff I need to import goods to EU
- Have an efficient tax strategy (Because everything coming on the 49,5% bracket tax is not ideal)
- Be able to do this in a (hopefully) lean way
- Be able to expand my business to other Amazon marketplaces
- Protect myself with a limited liability structure
