Advice on Legal and Business Structures for the Acquisition of a Business Unit

We are about to acquire a business unit together with a partner in The Netherlands and are seeking professional advice on the legal and business structure that would be most suitable for this collaboration. We would like to gain a clear understanding of the following aspects:

Corporate or partnership structure
Which structure (e.g., a general partnership, limited partnership, private limited company, or another legal form) would be most suitable for our collaboration, considering our specific situation and goals?

Distribution of profits and capital
How can we clearly and legally formalize the agreements on the distribution of profits, losses, and any capital contributions?

Taxes and expenses
What are the tax implications of our chosen structure, and how can we manage tax obligations and business expenses efficiently?

Planning and governance
How can we best organize the process for the acquisition and future governance? Are there specific matters, such as agreements or articles of association, that we should consider from the outset?

We would appreciate your advice on addressing these aspects strategically and laying a solid foundation for a successful collaboration. Could you let us know how you could assist us in this process and what your approach and planning would look like?

For everybody's understanding out of which country or countries are you going to buy i.e., invest in NL?

 

Also, I think depending on your answer on my question you'd be best served if you hire a tax consultant who has knowledge of tax treaties.
