I think you mean that it was closed in 2023? If so, I think you can go to kvk.nl, and purchase an extract ('uittreksel') there. I'm pretty sure the KVK Uittreksel will show the fact that it has been dissolved.

yes 2023, the company is not listed on KVK now to get extract.

The issue is I have a Croatian company that was owned by the BV. The Lawyer in Croatia said since I closed the BV I can transfer ownership to me in Croatia.  This is what she said I need to do.

 

It will also be necessary for you to contact the Chamber of Commerce or the court or some other competent institution in the Netherlands to give you the authority to transfer the ownership of the Croatian company to you.

Until you receive such confirmation in the Netherlands that the company has been deleted and that you are the authorized person, i.e. that the entire ownership of that company has been transferred to you, you will not be able to transfer ownership to yourself in Croatia, because you are not registered as the owner of that Croatian company, but another company.

Since the BV was closed in Oct 2022, and my Accounting I paid didn't file the Zero Vat, and yearly Tax returns. I still get letters of fines from the Tax office. I emailed them many times asking to remove the fines. 

 

I wanted to know since I am not able to pay these fines or hire a lawyer, can the Tax office file any claims agenst me as the director?   Or the shareholders in the USA?

 

One friend said don't go back to the Netherlands.


Any suggestions or advice?

I am writing to provide you with an update regarding my previous request to have all VAT and Corporate Tax fines waived. Unfortunately, I am currently unable to afford the services of an accountant to file the VAT and Corporate Tax fines. Despite my best efforts, I have been unsuccessful in finding any free services to assist with corporate tax filings in the Netherlands, leaving me with limited options.

 

I am reaching out to you in the hope that you may be able to offer some assistance. Due to my unsuccessful attempt to establish a business in Europe, I have lost everything, including my investments and business.

 

Furthermore, I want to emphasize that I am not a Dutch National and my knowledge of the business and taxation processes in the Netherlands is limited. My company was mostly inactive, and when it did engage in trade, it generated minimal to no revenue and never turned a profit. The impact of COVID-19 has had a significant effect on me.

 

I sincerely hope for your understanding and support in canceling the fines for the VAT and Corporate Tax, thereby resolving all issues related to Steffanini International BV.

 

Throughout this matter, I have been transparent with you, and I genuinely hope for your empathy and understanding.

Hi Vincent

 

It seems that you have underestimated the severity of the BV's fiscal obligations. The Dutch Belastingdienst will probably eventually waive the penalties if you are not living in The Netherlands, since "coming after you" State side is probably way too costly.

 

But if you have any intentions of returning to NL it's probably best that you deal with the issue until you have a written confirmation that these penalties have been waived. 

 

Your letter is a good start. Response by the Belastingdienst will usually take a month or three.

Why don't you ask another intermediair to file the (zero) VAT returns etc. then? Through their own systems, that is.

 

That won't cost a lot. But of course you have to provide all the info first, after that they can file a "zero" for you and will the 'belastingdienst' drop their claim (at least adjust it towards zero).

Everyone I spoke to wants 500 to 1,000 to do, I don't have that. I lost over 100,000 due to COVID and its been a mess trying to get Dutch Tax office to understand. I just don't want legal issues with me and my shareholders if we cant fix this tax issues.

I have called them and will call them again this week. Maybe they wave the fees

That's not very cheap. But maybe you also intend to file a corporate tax return for 2022(?).

That will be more complicated then, I guess.

 

Anyhow: the proper way to end all of this is to file the "unfiled" tax returns (VAT and maybe VPB, corporate tax). 

 

I think your posts are a bit confusing by the way - first you talk about October 2024, then you write that you mean 2023 and finally you state that it should be October 2022!

Maybe that's also a part of the reason for intermediairs to ask a substantial amount for looking at your case.
